Treasury sells big chunk of AIG stock at a profit

(Reuters) - The U.S. government cut its stake in American International Group Inc to 19 percent on Monday, making a profit of $12.4 billion on the insurer's crisis-era bailout and bringing the unpopular rescue closer to its end.

The Treasury Department sold $18 billion worth of the insurer's shares at $32.50 apiece, in what could yet be the largest ever secondary offering in U.S. history. The underwriters have the option to buy another $2.7 billion worth of AIG shares, which they can exercise in the next 30 days.

The offering represents the government's biggest sell-down of AIG shares since it rescued the insurer with bailouts in 2008 and 2009. At one time, the government pledged as much as $182.3 billion to prop up the company, as mounting subprime losses forced the insurer to come up with a lot of cash quickly. In exchange, the government received a nearly 80 percent equity stake in the company.

The Treasury's sale comes as President Barack Obama campaigns for a second term and has been forced to defend his support of decisions to use taxpayer money to prop up companies during the crisis.

A White House spokesman said on Monday that the AIG stock sale represents a "commitment to recover taxpayer money" and that President Obama is pleased with progress in winding down the government's stake.

The administration has been unwinding its position in the politically unpopular financial crisis programs ahead of the November 6 election amid Republican campaign pressure over the role of the government in the private sector.

The government has recouped $342 billion out of $411 billion disbursed to financial institutions through the most prominent bailout, the Troubled Asset Relief Program, or TARP. But more than 300 small banks that received TARP funds have yet to repay taxpayers. Rescues of AIG and other large banks also included other bailout programs.

"From the government's point of view, it's political," former AIG Chief Executive Hank Greenberg said in an interview on CNBC, adding that the government had hoped to exit its bailout investments much sooner.

The AIG share sale, which was announced on Sunday, is the largest follow-on stock offering since December 2009, when Bank of America Corp sold $19.3 billion worth of stock, also to pay back taxpayers. It is also the largest equity offering since Facebook Inc's initial public offering in May, according to Thomson Reuters data.

PROFIT FOR U.S.

The offering was priced at a 4 percent discount to AIG's closing price of $33.99 on Friday, the last trading day before the Treasury announced plans for the sale.

The Government Accountability Office estimated in May that taxpayers could make a profit of $15.1 billion on the bailout. But to get to that figure, the Treasury will need to sell the rest of its shares at closer to $39 apiece.

AIG's stock closed 2 percent lower at $33.30 on the New York Stock Exchange on Monday.

Still, the government is exiting the investment faster than many investors had anticipated. The government had steadily reduced its stake down to 53 percent in smaller transactions since early 2011, and many investors expected the latest offering to be smaller.

The stock sale, including the overallotment option, will cut the government's stake to 14 percent from 53 percent in one go.

AIG itself bought back $5 billion of its shares in the stock sale, with the rest going to the broader public.

AIG planned to use $3 billion worth of cash and short-term securities, and $2 billion in proceeds from the sale of its stake in Asian life insurer AIA Group to buy back stock from the government, the company said in a securities filing.

Repurchasing shares near their recent trading price - roughly 56 percent of book value - is likely to boost AIG's earnings through an accounting gain, but it will also reduce a good portion of cash, Greenberg said.

The Treasury also owns warrants to purchase another 2.7 million shares, according to AIG's filing. The Treasury has allowed other financial firms to repurchase bailout-related warrants directly or to auction them off.

REGULATORY CHANGE

The decrease in the Treasury's ownership triggers an important regulatory change for AIG. Once the Treasury's ownership stake falls below 50 percent, the insurer starts to be regulated by the Federal Reserve as a savings and loan holding company, since AIG owns a small bank.

As a result, AIG will have to comply with new rules under the 2010 Dodd-Frank financial reform law, including the Volcker rule, which limits large financial firms' ability to trade for their own account or own stakes in private equity firms and hedge funds.

Even if AIG were to rid itself of the savings-and-loan subsidiary, the Financial Stability Oversight Council may still designate AIG as a "systemically important financial institution" because of its size.

That would subject it to other, stricter federal regulations for large financial firms, including higher capital requirements, stress tests and possible dividend and buyback restrictions.

"To stabilize and then restructure the company with a very substantial positive gain for the American taxpayer is a significant accomplishment," Treasury Secretary Tim Geithner said in a statement. "But we need to continue the critical task of implementing Wall Street reform so that the American economy is never put in this position again."

Underwriters for the deal include Citigroup Inc, Deutsche Bank AG, Goldman Sachs Group Inc, JPMorgan, Bank of America Corp's Merrill Lynch division, Barclays PLC, Morgan Stanley, Royal Bank of Canada's RBC Capital Markets division, UBS AG, Wells Fargo & Co, Credit Suisse and Macquarie Group Ltd.

Embrace The Limb | Small Business Branding

brand positioningConsidering all the words I write on branding, essentially all I?m saying is that if you?re not playing, you?re losing. That?s not to say that you?re not successful, but that you?re not being the best you can be. I?m saying that marketing can be a little easier when you compete as a leader not a follower.

Most companies advertise by using campaigns to inspire consumers to buy in the moment. They use any number of proven techniques to get the attention of you the consumer. A number of these techniques have even taken on a life of their own. Ie: When something is new and improved, or there?s 50% more etc., you see these statements contained in a burst, or a banner, or a peeled back page ? these visual gimmicks are called violators in the industry. There are violator companies out there, who do nothing but generate these cues. Color is used for its psychological effects, sound and smell are often brought into play. Tantilizing visuals are also used to stir those emotions. As this paragraph outlines, there are any number of tried and true ways to advertise and they are consistently used by everyone who advertises.

The one thing that every advertisers does not use is positioning.

Why?

Because to position wisely, you must be a leader. As we see in life, not everyone is cut out to be a leader. There are vastly more followers than leaders. Many businesses like the tried and true. They don?t enjoy going out of their comfort zone and they pay a high price for this. It is much easier to do nothing and be content with what you have. A lot of people are afraid of ?Leader? because they fear being called out on it. This is a just fear if they?re really not a leader, but are pretending to be. It?s not enough to say you are the Leader, you must BE the leader. Act like one and win like one. Without knowing it, we all lead in some way. It?s within all of us. Maybe it?s the ?no brag rule? that our Mother?s instilled in many of us, or a childhood shyness we never quite outgrew. If you ache for your brand to lead, then positioning should be a must-do in your business bucket-list.

This is where I typically come into the picture in the role of Brand Consultant. I take heads of companies through the maze of their business environment and deliver an awareness of their brand. This clarity provides the fuel that satisfies their hunger to lead. Often times, the positioning developed accurately reflects an area, they currently dominate but have not articulated effectively. I inspire them to ?bold-up? as it were. If you couple the Leadership Positioning with traditional marketing, then you have a very powerful message to resonate with customers. Without positioning you are simply one of many. Your competitors are many as well. Without Positioning, everyone is saying the same thing in different ways. All the slogans while inspirational, don?t resonate. Leading gives the customer something to embrace and understand your value.

As a category leader, you must embrace the limb. That is to say, you have to climb out onto the limb first, then with all confidence embrace it. To benefit from this precarious location you have to put in place processes that encourage and sustain your leadership. Brands grow or decline with time. Depending on the foundation laid out, your brand will go in one of these directions. Establish a strong set of Brand values and stick with them. The leadership position you embrace, must where to these values as they are the foundation defined.

Apple again flattens rivals in latest J.D. Power smartphone satisfaction survey

iPhone Customer Satisfaction

While it isn?t news that iPhone fans love their smartphone of choice, it is remarkable to see just how much more they love their smartphones than their competitors? customers. J.D. Powers? latest Wireless Smartphone Customer Satisfaction Study shows that?iPhone users rate their devices highest among all smartphone users in all possible categories, from performance to physical design to features to ease of operation. In fact, no other smartphone manufacturer even matches Apple?s scores in any of JD Powers? four criteria.

Overall Apple (AAPL) earned a customer satisfaction score of five out of five, while no other manufacturer?s smartphones even topped three out of five. Motorola, Samsung (005930) and HTC (2498) came the closest to matching Apple with overall satisfaction scores of three circles while Research In Motion?(RIMM), HP (HPQ) and LG (06657011) brought up the rear with customer satisfaction scores of two circles.

JD Powers? full press release follows below.

Social Networking and Gaming Applications Driving Smartphone Usage and Revenue?

Apple Ranks Highest in Customer Satisfaction among Smartphone Manufacturers, While LG Ranks Highest Among Traditional Mobile Phone Manufacturers

WESTLAKE VILLAGE, Calif.: 06 September 2012
?? As wireless phones continue to be integrated in every aspect of consumers? lives, smartphones are quickly gaining a foothold as the centerpiece of mobile social media. The seamless connectivity offered by mobile social networking applications, such as Twitter and Facebook, play a critical role in overall smartphone satisfaction, according to the J.D. Power and Associates 2012 U.S. Wireless Smartphone Customer Satisfaction StudySM?Volume 2 and the J.D. Power and Associates 2012 U.S. Wireless Traditional Mobile Phone Satisfaction StudySM?Volume 2, both released today.

The Wireless Smartphone Customer Satisfaction Study finds that customers who regularly use mobile channels of social media and gaming applications are more satisfied with their device and spend more per month for wireless service than customers who do not. In 2012, 67 percent of smartphone customers indicate they have downloaded social networking applications on their device and report spending more than 100 minutes per week using those applications. Overall smartphone satisfaction among customers using social networking applications is 810 (on a 1,000-point scale), which is 55 points higher than among smartphone customers who do not. Additionally, 69 percent of smartphone customers indicate they have downloaded gaming applications and spend an average of 81 minutes per week playing games. Satisfaction among customers using gaming applications is 61 points higher than among those who do not (813 vs. 752, respectively).

?As the capabilities of wireless phones and their applications continue to expand, allowing customers to more often use their device, handset manufacturers have an opportunity to shape the customer experience and impact satisfaction with better application integration and social networking options,? said Uma Jha, senior director of mobile devices at J.D. Power and Associates.

The Wireless Smartphone Customer Satisfaction Study also finds that customers who use gaming applications spend $13 more per month, on average, for their wireless service than those who do not use gaming applications. Likewise, mobile social media application users spend an average of $12 more per month on their service than do customers who do not use social media applications.

The two studies measure customer satisfaction with?traditional wireless handsets?andsmartphones?among owners who have used their current mobile device for less than one year. Satisfaction is measured in several key factors. In order of importance, the key factors of overall satisfaction with traditional wireless handsets are: performance (29%); ease of operation (26%); physical design (24%); and features (21%). For smartphones, the key factors are: performance (33%); physical design (23%); features (22%); and ease of operation (22%).

For the eighth consecutive study, Apple ranks highest among manufacturers of smartphones in customer satisfaction. Apple achieves a score of 849 and performs well in all factors, particularly in physical design and? ease of operation. HTC (790) follows Apple in smartphone rankings.

LG ranks highest in the Wireless Traditional Mobile Phone Satisfaction Study with a score of 726.? LG performs well in all four factors.

The studies also find the following key wireless handset usage patterns and purchase trends:

  • The cost of a traditional wireless mobile phone averages $56, compared with an average of $66 in 2011. The decline is primarily due to discounts provided by handset providers and wireless service carriers to incentivize sales. Currently, 44 percent of customers report having received a free mobile phone when subscribing to a wireless service.
  • Features have become less of a differentiator in the smartphone selection processes due to an influx of competitive offerings from newer manufacturers. Nearly one-half (47%) of customers this year indicate they chose their smartphone primarily because of particular features, such as a camera, the operating system, or social media integration or gaming capabilities, compared with 57 percent just one year ago.
  • Nearly one-fifth (19%) of customers this year primarily chose their smartphone based on price, compared with 14 percent a year ago. This may be driven by offers of free or heavily discounted devices from wireless carriers, as 22 percent of customers indicate their smartphone was free, an increase from 18 percent a year ago.
  • Nearly two in 10 current smartphone owners report experiencing a software or device malfunction. Malfunctions have a significant impact on overall satisfaction, a gap of 90 points between customers who experience software malfunctions and those who do not (799 vs. 709, respectively). Additionally, satisfaction among customers who indicate their device?s software crashes at least once a week averages 663.

The 2012 U.S. Wireless Smartphone Customer Satisfaction Study?Volume 2 and the 2012 U.S. Wireless Traditional Mobile Phone Satisfaction Study?Volume 2 are based on experiences reported by 8,736 smartphone owners and 6,272 traditional mobile phone owners. Both studies were fielded between January and June 2012.

Prior to joining BGR as News Editor, Brad Reed spent five years covering the wireless industry for Network World. His first smartphone was a BlackBerry but he has since become a loyal Android user.
